1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) (“you”) and Gistr Technologies Private Limited (“Company”, “we”, “us”, or “our”), regarding your access to and use of our website, as well as any other media form, media channel, mobile website, web extension or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

Gistr offers an AI notebook that helps you think, learn and organize knowledge you discover online. By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, as well as all applicable laws and regulations of your jurisdiction.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time. We will alert you about any changes by updating the Last updated date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site after the date such revised Terms and Conditions are posted.

The Site and its Content are provided for educational, informational, and knowledge-management purposes. While the Service may be used by, but is not limited to, individuals, educators, creators, and coaching institutes to share materials with their students or audiences, it may not be used in any jurisdiction or manner that is prohibited by law or that would subject us to additional regulatory or registration requirements.

You are solely responsible for ensuring that your use of the Site complies with all applicable local laws and regulations.

2. User Registration

You may create an account with Gistr to store your notes. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

3. User Representations

By using the Site, you represent and warrant that:

  1. All registration information you provide will be true, accurate, current, and complete.
  2. You will maintain the accuracy of your information and promptly update it as necessary.
  3. You will keep your email address up to date to ensure you receive important notices about the Service.
  4. You have the legal capacity to enter into these Terms and agree to comply with them.
  5. You are at least 13 years of age (or the minimum digital age in your jurisdiction). Users under the minimum age are not permitted to use the Site. Users between 13 (or the minimum age) and 18 may use the Site only with parental or guardian consent. We do not knowingly collect personal information from children under the minimum age.
  6. You will not access the Site through automated or non-human means (such as bots, scripts, or scrapers).
  7. You will not use the Site for any illegal, unauthorized, or prohibited purpose.
  8. Your use of the Site will not violate any applicable law or regulation.
  9. You are solely responsible for any content you create, upload, or store on the Site (“User Content”). You agree not to upload or transmit any User Content that is illegal, infringing, harmful, obscene, or otherwise objectionable. We reserve the right, at our sole discretion, to remove or disable access to any User Content that violates these Terms or applicable law, without liability to you.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Site (in whole or in part).

4. Intellectual Property Rights

4.1 Ownership of Site, Content, and Marks

Unless otherwise indicated, all parts of Gistr are our proprietary property. All source code, databases, software, website designs, text, and media on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property and unfair competition laws, including applicable international laws and conventions.

4.2 Proprietary Systems Covered

The following systems and features are proprietary to us and protected under applicable law:

  1. AI-powered content summarization, question-answering, and note-taking.
  2. Analysis of PDFs, websites, and YouTube videos.
  3. YouTube video highlights and timestamped notes.
  4. PDF annotation and note-taking tools.
  5. AI-powered insights and contextual learning outputs.
  6. User space management and organization tools.
  7. Video feed integration.
  8. All other interactive tools provided on the Site to facilitate learning, knowledge management, and personal study.

4.3 Legal Protection

The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the Site, and no Content or Marks, may be copied, distributed, transformed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

4.4 Reservation of Rights

All rights not expressly granted in these Terms are reserved by us. Unauthorized use, reproduction, or distribution of the Site, Content, or Marks may result in account termination and legal action.

4.5 Prohibited Actions (Without Written Consent)

Unless expressly permitted in writing, you may not:

  • Copy, reproduce, republish, distribute, sell, license, or exploit any portion of the Site, Content, or Marks for commercial purposes.
  • Use the Site or Content to create a competing or derivative service.
  • Circumvent or attempt to bypass any usage limits, access restrictions, or security protections on the Site.

5. User Content

You retain ownership of all materials you upload to the Site, including PDFs, website content, video links, personal notes, and other user-provided material (“User Content”).

By using the Site, you grant us a limited, non-exclusive, worldwide, royalty-free license to to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Private Material – solely for the purpose of providing the Service to you, or for the specific other purposes listed below. This includes actions necessary to facilitate your use of the Service, such as syncing and backing up your notes. It also includes sharing Private Material with third parties, but again, only for the sole purpose of providing the Service to you (for example, to convert a document you have uploaded to another format), or as required by law, or pursuant to your explicit instructions or consent.

We will never sell or publicly share your User Content without your explicit consent. We also do not train machine-learning models on your personal User Content.

6. Prohibited Activities

You may only use the Site for lawful purposes and in accordance with these Terms. The Site is provided to support personal learning, note-taking, and educational content sharing (including by creators, educators, and learners). Any other use is prohibited unless expressly authorized by us in writing.

As a user of the Site, you agree not to:

Misuse of Services

  • Access or use the Site for any purpose other than those for which we make it available.
  • Use the Site in a way that violates any applicable law, regulation, or rights of others (including intellectual property rights).

Security Violations

  • Circumvent, disable, or interfere with security features of the Site, including features that restrict copying or usage limits.
  • Attempt to gain unauthorized access to other users’ accounts, data, or systems.

Content Misuse

  • Upload, share, or distribute any unlawful, infringing, harmful, obscene, or otherwise objectionable content.
  • Upload or transmit viruses, malware, or any harmful code intended to disrupt the Site or other users’ access.
  • Remove or alter copyright, trademark, or proprietary notices on any Content.

Automated or Abusive Access

  • Use bots, scripts, scrapers, or other automated means to access, copy, or interact with the Site, except as permitted through official integrations or APIs.
  • Create accounts by automated means or under false pretenses.

Conduct

  • Impersonate another user or misrepresent your identity.
  • Harass, threaten, abuse, or intimidate any user, student, educator, or our staff.
  • Engage in any conduct that disrupts or places an undue burden on the Site’s operation or on other users’ ability to use the Service.

Commercial Misuse

  • Use the Site to build or promote a competing service.
  • Sell, resell, or otherwise exploit Site access without authorization.
  • Transfer, sell, or assign your profile or account without our consent.

7. Feedback

If you send questions, comments, feedback, suggestions, or other ideas (collectively, “Feedback”) to us by any means, you agree that your Feedback is non-confidential, and you grant us a perpetual, worldwide, royalty-free license to use it for any purpose without acknowledgement or compensation to you. You confirm that you have the right to grant us this license (for instance, if it is someone else’s idea, you have gotten their permission to share it under these terms).

This license does not apply to any personal notes you may attach or otherwise make available to help us understand the Feedback or solve a technical problem. We will keep such notes confidential (unless you submit them directly to a public forum), and you grant us a license to use them only for the purpose of understanding the Feedback or solving the problem.

We respect the intellectual property rights of others. If you believe that any material on or through the Site infringes any copyright you own or control, please notify us immediately using the contact information below (a “Notification”).

Your Notification should include:

  1. A description of the copyrighted work or intellectual property you claim has been infringed.
  2. A description of where the allegedly infringing material is located on the Site.
  3. Your contact information (address, phone number, and email).

A copy of your Notification will be sent to the person who posted or stored the material. Please note that under applicable law, you may be held liable for damages if you make false claims. If you are unsure whether material infringes your copyright, you should consider consulting an attorney.

9. Subscription and Payments

When you sign up for a subscription plan and attach a payment method, you give us permission to automatically renew your subscription and charge your payment method at the end of each billing cycle (monthly or yearly, per your choice when you subscribe). You agree to provide Gistr with accurate and complete billing information. If a renewal charge fails, we may attempt to charge your payment method again until it succeeds. If charges continue to fail, your subscription will be automatically canceled.

You can cancel automatic renewal of your subscription at any time by emailing us at support@gistr.so. Your subscription features will remain active until the next date you would have been billed, at which point they will stop.

We may change the subscription fees for existing subscriptions. If the fee is to increase, we will provide you with at least 30 days’ notice of the change via email, during which time you can cancel your subscription if you do not wish to pay the higher fee.

Subscription fees are inclusive of taxes unless otherwise stated, and charges are made in the currency shown at checkout. Any applicable taxes or conversion fees are your responsibility.

Refund Policy

Refunds are available within 14 days of your initial payment unless you have already used more than 300 AI responses, in which case no refund is provided due to incurred usage costs. After this period (or usage threshold), all payments are non-refundable except where required by law. To request a refund, contact us at support@gistr.so.

10. Contributions

Gistr invites educators, creators, and learners to contribute to, participate in, and engage with our platform through the creation, sharing, and discussion of content. You may create, submit, post, display, transmit, publish, distribute, copy or broadcast content and materials including but not limited to notes, study materials, video summaries, PDF annotations, educational resources, comments, discussions, AI chat interactions, and other learning materials (collectively, “Contributions”).

Contributions may be viewable by other users of the Platform, shared with specific audiences, or kept private based on your privacy settings. Please note that public Contributions may be indexed by search engines like Google and become discoverable outside the Platform. When you create or make available any Contributions, you represent and warrant that:

  • You are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and authorize us, the Platform, and other users to use your Contributions as contemplated by these Terms.
  • The creation, distribution, transmission, public display, or performance of your Contributions does not infringe any proprietary rights, including copyright, patent, trademark, trade secret, or moral rights of any third party.
  • If your employer or institution has rights to intellectual property you create, you have received permission or secured a waiver to share the Contributions.
  • You have written consent from any identifiable individuals in your Contributions to use their name or likeness.

Your Contributions must comply with the following standards:

  • Accuracy: Contributions are not false, inaccurate, or misleading, particularly important for educational content.
  • Value: Content should help other users learn, study, or understand topics.
  • Legal Compliance: Contributions do not violate any applicable law, regulation, or rule.
  • Respectful Communication: Content is not obscene, lewd, violent, harassing, libelous, slanderous, or otherwise objectionable.
  • No Harassment: Contributions do not ridicule, mock, disparage, intimidate, abuse, harass, or threaten any person.
  • Privacy Protection: Content does not violate privacy or publicity rights of any third party or expose personal information without consent.
  • No Spam: Contributions are not unsolicited advertising, promotional materials, spam, or mass distribution content.
  • Child Safety: Content does not violate laws concerning child protection or minor safety.
  • Non-Discriminatory: Contributions do not include offensive comments connected to race, national origin, gender, sexual preference, religion, age, disability, or other protected characteristics.

You may not submit Contributions that contains:

  • Contain viruses, malware, or other harmful code
  • Promote illegal activities or provide instructions for unlawful acts
  • Violate copyright law or infringe third-party intellectual property rights
  • Create security risks or expose confidential information
  • Are designed to mislead recipients about their source (spoofing)
  • Drive traffic to unrelated third-party sites for commercial purposes

11. Contribution License

11.1 License Granted to Gistr - Public Content

By posting your Contributions to any public area of the Site, or making Contributions accessible to the Site by linking your account from the Site to any of your social networking accounts, you grant Gistr a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to host, use, reproduce, publicly display, modify, adapt, and distribute your Contributions as necessary to operate and promote the Platform, subject to your privacy settings. This license allows us to make content available to other users and to publicly promote contributions as examples of platform use.

But this license does not authorize us to sell or otherwise commercialize your Contributions separately from the Platform without your explicit approval.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

11.2 License Granted to Gistr - Private Content

Content that you keep private using your account settings remains your property and is only accessed, processed, or used by Gistr as necessary to provide the Service to you, to ensure platform integrity, or as otherwise required by law. We will never use private content for marketing, advertising, or machine learning model training, nor will we disclose or share it with third parties except as required to provide the requested Service or by legal obligation.

Note: Any Contributions that were previously public but later converted to private will no longer be subject to the public content license, except for rights already granted or uses that occurred while the content was public.

11.3. License Granted to Users - Shared Content

When you access, view, copy, import, or download Contributions shared by other users, the original creator grants you a worldwide, perpetual, non-exclusive, royalty-free license to:

  • Use, copy, reproduce, and adapt the content for your personal use
  • Incorporate the content into your own materials and notes
  • Modify and improve the content for your purposes

Limitations:

  • This license is for personal use only
  • You may not redistribute or commercialize the content outside the Platform
  • You may share modified versions back to the Gistr community under the same license terms
  • Attribution to the original creator is encouraged for substantial use

11.4. Enhanced Rights and Attribution

Original creators may grant additional rights beyond the standard license by explicitly stating so within their content. We encourage proper attribution and academic citation practices when using others`' educational materials.

12. Content Management

Gistr reserves the right, in our sole discretion, to:

  • Edit, redact, or modify any Contributions for clarity, accuracy, or compliance
  • Re-categorize Contributions to improve discoverability and organization
  • Pre-screen, review, or remove any Contributions at any time without notice
  • Flag content that may violate these terms for community review

We are not obligated to monitor all Contributions but may do so to maintain quality and community standards. Users are encouraged to report inappropriate content using our reporting tools.

13. User Responsibilities

Users are responsible for:

  • Taking precautions to protect their devices and data when downloading content
  • Verifying the accuracy and appropriateness of materials
  • Respecting intellectual property rights and academic integrity standards
  • Reporting violations of these terms to Gistr support

Gistr does not review all Contributions and cannot guarantee their accuracy, usefulness, or value. We disclaim responsibility for harm resulting from user-generated content while maintaining the right to moderate for community benefit.

14. Reviews

When leaving reviews or ratings for educational content, creators, or study materials, you must:

  • Have firsthand experience with the content or creator being reviewed
  • Provide honest, constructive feedback that helps other learners
  • Focus on educational value, accuracy, and usefulness
  • Avoid offensive profanity, abusive language, or discriminatory references
  • Not make false, misleading, or defamatory statements
  • Not organize campaigns to manipulate ratings
  • Not post reviews if you have conflicts of interest with competitors
  • Comply with academic integrity standards

Reviews should contribute to the educational community by helping others make informed decisions about learning materials and resources.

15. DISCLAIMER

THE GISTR PLATFORM IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLATFORM'S CONTENT, EDUCATIONAL MATERIALS, AI-GENERATED RESPONSES, NOTE SUMMARIES, OR THE CONTENT OF ANY THIRD-PARTY SOURCES INCLUDING YOUTUBE VIDEOS, PDFS, OR OTHER LINKED MATERIALS, AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, INCLUDING USER-GENERATED NOTES, STUDY GUIDES, AND AI CHAT RESPONSES, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION, EDUCATIONAL DATA, AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, INCLUDING LOSS OF NOTES, STUDY MATERIALS, OR AI CHAT HISTORY, (5) ANY BUGS, VIRUSES, TROJAN HORSES, MALWARE, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM, (7) ANY ACADEMIC PERFORMANCE ISSUES, EDUCATIONAL FAILURES, OR LEARNING OUTCOME DEFICIENCIES RESULTING FROM RELIANCE ON PLATFORM CONTENT, AND/OR (8) ANY INACCURACIES, BIASES, OR INAPPROPRIATE RESPONSES FROM AI-POWERED FEATURES INCLUDING BUT NOT LIMITED TO CHAT FUNCTIONS, CONTENT SUMMARIZATION, AND AUTOMATED NOTE GENERATION. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY EDUCATIONAL CONTENT, STUDY MATERIALS, OR SERVICES CREATED OR SHARED BY USERS THROUGH THE PLATFORM, ANY HYPERLINKED WEBSITE, THIRD-PARTY INTEGRATIONS, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY EDUCATIONAL INTERACTIONS, CONTENT SHARING, OR TRANSACTIONS BETWEEN YOU AND OTHER USERS OR THIRD-PARTY PROVIDERS. AS WITH THE USE OF ANY EDUCATIONAL TOOL OR LEARNING PLATFORM, YOU SHOULD USE YOUR BEST JUDGMENT, VERIFY INFORMATION WITH AUTHORITATIVE ACADEMIC SOURCES, AND EXERCISE CAUTION WHERE APPROPRIATE, PARTICULARLY WHEN MAKING IMPORTANT ACADEMIC OR EDUCATIONAL DECISIONS.

16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US. CERTAIN INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

17. Termination

These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

18. Governing Law

These Terms of Use and your use of the Platform are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

The Service is operated from India and is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. We make no representation that materials on the Platform are appropriate or available for use in other locations. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Users accessing the Platform from outside India acknowledge that they are doing so at their own risk and agree that all matters relating to your access to, or use of, the Platform shall be governed by Indian law and the jurisdiction of Bengaluru courts, regardless of your location.

19. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Site; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

20. Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
